Abstract:

Weldon Offshore Strategic Limited Incorporated (“Weldon”), a domestic corporation duly organized and existing under the laws of the Republic of the Philippines and a holding company, intends to acquire One Hundred Percent (100%) of the total issued and outstanding capital stock of TWA, Inc. (“TWA”) through the purchase of Four Hundred Million (400,000,000) common shares of TWA from all its stockholders. After the acquisition, Weldon will effectively acquire and control the retail fuel business of TWA in the Philippines and all of its Flying V service stations.
