ABSTRACT:

The proposed transaction is the acquisition by Coca-Cola South Asia Holdings, Inc. and Coca-Cola Holdings (Overseas) Limited of the 51% stake in the Coca-Cola FEMSA Philippines, Inc. (CCFPI) held by Controladora de Inversiones en Bebidas Refrescantes, S.L. After consummation of the proposed transaction, CCFPI will be wholly-owned by Coca-Cola South Asia Holdings, Inc. and Coca-Cola Holdings (Overseas) Limited.

CCFPI is a domestic corporation engaged in the bottling and distribution of nonalcoholic beverage products bearing trademarks of The Coca-Cola Company and/or its affiliates.

Coca-Cola South Asia Holdings, Inc. and Coca-Cola Holdings (Overseas) Limited are indirectly owned subsidiaries of The Coca-Cola Company. The Coca-Cola Company is a beverage company that owns or licenses and markets more than 500 nonalcoholic beverage brands, which are grouped into the following category clusters: sparkling soft drinks; water; enhanced water and sports drinks; juice, dairy, and plant-based beverages; tea and coffee; and energy drinks. Finished beverage products bearing The Coca-Cola Company’s trademarks, sold in the United States since 1886, are now sold in more than 200 countries.
