ABSTRACT:

The transaction involves the proposed acquisition by Longview Aircraft Company of Canada Limited (LACCL) of Dash 8, also known as the Q Series, aircraft program and related assets from Bombardier Inc. pursuant to an asset purchase agreement in November 2018.

LACCL is based in Canada and is a wholly owned subsidiary of Longview Aviation Capital Corp. (LAC), which in turn manages a portfolio of long-term investments in the Canadian aerospace industry such as LACCL itself, Viking Air Limited, Pacific Sky Aviation Limited, and Longview Aviation Services Inc.

Longview is a wholly owned subsidiary of Westerkirk Capital Inc., a Canadian investment firm in the Canadian aviation industry. Westerkirk is ultimately controlled by 2003 TIL Settlement.

On the other hand, Bombardier Inc., also headquartered in Canada, manufactures and sells transportation equipment worldwide together with its subsidiaries. The Dash-8/Q Series is a  series of turboprop-powered regional airliners that is part of Bombardier’s fleet and program to be sold to LACCL.
